Welcome to Quill (the "Platform"), an online marketplace for the purchase, sale, and trading of Non-Fungible Tokens ("NFTs"). These Terms of Service ("Terms") govern your access to and use of our Platform.
By accessing or using the Platform, you agree to comply with and be legally bound by these Terms. If you do not agree, do not use the Platform.

1. Definitions

- "Platform": Refers to the website, app, and services provided by Quill. - "User": Any individual or entity accessing the Platform. - "NFT": Digital assets that represent ownership of a unique item, typically registered on a blockchain. - "Content": Any digital files, including images, music, video, or other creative work linked to an NFT.

2. User Accounts

1. Registration: To use the Platform, you must create an account and provide accurate, complete information. 2. Security: You are responsible for maintaining the confidentiality of your account credentials. 3. Eligibility: You must be at least 18 years old (or the legal age in your jurisdiction) to use the Platform.

3. Transactions on the Platform

1. Buying and Selling: The Platform allows users to buy, sell, or trade NFTs. Transactions are final and non-reversible once confirmed. 2. Ownership: - Ownership of an NFT grants you rights only to the digital token. - Ownership does not necessarily grant rights to the underlying intellectual property or Content unless explicitly stated. 3. Fees: The Platform may charge transaction fees, royalties, or other fees. All fees will be disclosed prior to purchase. 4. Blockchain Confirmation: Transactions are facilitated and confirmed via blockchain networks. Delays or failures in blockchain processing are beyond the Platform’s control.

4. User Responsibilities

1. Compliance with Laws: You must comply with all applicable local, state, national, and international laws when using the Platform. 2. Prohibited Activities: Users may not: - Violate intellectual property rights. - Upload illegal, fraudulent, or misleading content. - Use the Platform for money laundering or other illicit purposes. - Manipulate market prices (e.g., wash trading). 3. Content Authenticity: Sellers must ensure that they have the right to sell the NFTs and that any associated Content is original or authorized.

5. Intellectual Property Rights

1. Platform Ownership: Quill retains all rights to the Platform’s design, software, and content. 2. Third-Party Content: The intellectual property rights for any content linked to NFTs remain with their respective creators or licensors. 3. License: By uploading content to the Platform, you grant Quill a non-exclusive, royalty-free license to display the content for marketing and operational purposes.

6. Disclaimers and Warranties

1. No Warranty: The Platform is provided "as is" and "as available" without warranties of any kind. 2. Risk of NFTs: You acknowledge the inherent risks in blockchain technology, including: - Loss of private keys. - Blockchain failures or delays. - Price volatility of NFTs. 3. Third-Party Services: Quill is not responsible for third-party services, wallets, or platforms.

7. Limitation of Liability

To the fullest extent permitted by law, Quill and its affiliates will not be liable for any: - Indirect, incidental, or consequential damages. - Losses arising from unauthorized access to your account. - Damages resulting from blockchain issues or errors in transactions.

8. Indemnification

You agree to indemnify and hold harmless Quill, its affiliates, employees, and directors from any claims, losses, or damages resulting from: - Your breach of these Terms. - Your violation of applicable laws. - Disputes regarding ownership or authenticity of NFTs or content.

9. Termination

Quill reserves the right to: - Suspend or terminate your access to the Platform for any violation of these Terms. - Remove content or NFTs at its sole discretion.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting. Continued use of the Platform after changes means you accept the revised Terms.
